Terms & Conditions :- VISIONROOTS SERVICES PRIVATE LIMITED Direct Seller Agreement THIS AGREEMENT (the "Agreement") is made in Delhi, on date, Month, Year, in furtherance of accepting it online by and between VISIONROOTS SERVICES PRIVATE LIMITED, a Company incorporated under the provisions of the Companies Act, 1956 and having its registered office at A4-34, Paschim Vihar, New Delhi-110063 hereinafter also referred to as "The Company," "VISIONROOTS," "VISIONROOTS SERVICES," "we", "our," and "us". And The "Direct Seller" (Individual, other details as mentioned in the Sign up / Registration Request Form) filing the Registration Request for a Direct Seller function and accepting this agreement online. NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows: 1. Definitions As used herein, the following terms shall have the meanings set forth below: A. "Goods and Services" shall mean the Company's services to be sold by VISION ROOTS Direct Seller and such services as may be communicated by the Company in writing to the VISION ROOTS Direct Seller from time to time. B. "Territory" shall be allocated during time of engagement by the Company in writing to the VISION ROOTS Direct Seller. Any change in "Territory" shall be communicated by the Company in writing to the VISION ROOTS Direct Seller from time to time. C. "Direct Seller" will have the title of "(VISIONROOTS Direct Seller)" and is competent to enter into contract as per "Indian Contract Act", and who is authorized by the Company to engage into the business of Direct Selling. D. "Consideration" - Means amount of incentive payable to the Direct Seller for effecting sale of goods /products as stipulated in the Agreement between the Direct Seller and Direct Selling entity. E. "Website" - Means official website of the Company www.VISIONROOTS.co.in F. VISIONROOTS ID - Means unique identification number issued by the Company to the Direct Seller as token of acceptance of his/her application for Direct Selling of the goods/products of the Company. G. Password-Means unique code allotted to each Direct Seller to allow them to log on to the website of the Company. H. "Customer" means a person who is an end user of products and/or services offered through by VISIONROOTS. I. "VISIONROOTS Products" means all products and services, including literature, training and other support or auxiliary materials, any audio visual material made available by VISIONROOTS to Direct Sellers and Customers. J. "VISIONROOTS Sales and Compensation Plan" means the plan detailing VISIONROOTS’ requirements, procedures and policies, regarding the sales of VISIONROOTS products and business, performance consideration/incentive systems; as amended from time to time by VISIONROOTS, and which forms an integral part of the Direct Seller Agreement. 2. Appointment Company hereby appoints the Direct Seller (VISIONROOTS Direct Seller) as its non-exclusive selling agent for the services in the territory, and Direct Seller (VISIONROOTS Direct Seller) hereby accepts such appointment, having read, understood and accepted the company’s Terms & Conditions for VISIONROOTS Direct Seller mentioned in this agreement. The Direct Seller's (VISIONROOTS Direct Seller) sole authority shall be to solicit customers for the sale of products and services in the territory in accordance with the terms of this agreement. The Direct Seller (VISIONROOTS Direct Seller) shall not have the authority to make any commitments whatsoever on behalf of Company. d. Cooling Off Period: If for any reason a customer is not satisfied with the purchased product/s, he/she may return it within 7 days of purchase (payment date) for a refund as per the terms of the company’s Product Return & Refund Policy. General Duties The Direct Seller (VISIONROOTS Direct Seller) shall use his best efforts to promote the services and maximize the sale of the services in the territory. The Direct Seller (VISIONROOTS Direct Seller) shall also provide reasonable assistance to Company in promotional activities in the territory. The Direct Seller (VISIONROOTS Direct Seller) will assist the company by taking part in all promotional events; use the marketing inputs judiciously for maximizing orders for the company. Reserved Rights Company reserves the right to solicit/engage other Direct Sellers (VISIONROOTS Direct Sellers) directly from businesses within the territory. The Direct Seller's (VISIONROOTS Direct Seller’s) task is to solicit customers from all potential businesses in the territory. Conflict of Interest The Direct Seller (VISIONROOTS Direct Seller) warrants to Company that it does not currently represent or promote any Services that compete with the Company's Services. During the term of this Agreement, the Direct Seller (VISIONROOTS Direct Seller) shall not represent, promote or otherwise try to sell within the Territory any Services that, in Company's judgment, compete with the services of the company covered by this Agreement. Independent Business Unit The Direct Seller (VISIONROOTS Direct Seller) is an independent business unit, and nothing contained in this Agreement shall be construed to (i) give either party the power to direct and control the day-to-day activities of the other, (ii) constitute the parties as partners, joint ventures, co-owners or otherwise, or (iii) Allow VISIONROOTS Direct Seller to create or assume any obligation on behalf of Company for any purpose whatsoever. The Direct Seller (VISIONROOTS Direct Seller) is not an employee of Company and is not entitled to any employee benefits. The Direct Seller (VISIONROOTS Direct Seller) shall be responsible for paying all income taxes and other taxes charged to The Direct Seller (VISIONROOTS Direct Seller) on amounts earned hereunder. All financial and other obligations associated with the Direct Seller's (VISIONROOTS Direct Seller’s) business are the sole responsibility of VISIONROOTS Direct Seller. Indemnification by the Direct Seller (VISIONROOTS Direct Seller) The Direct Seller (VISIONROOTS Direct Seller) shall indemnify and hold Company free and harmless from any and all claims, damages or lawsuits (including reasonable attorneys' fees) arising out of negligence or malfeasant acts of the Direct Seller (VISIONROOTS Direct Seller) or misrepresentation or breach of any obligations under this agreement. Sole Compensation The Company shall pay the Direct Seller (VISIONROOTS Direct Seller) on every valid sale (subject to cooling off period sale as mentioned in clause 2 (d)) a consideration as communicated by the company in their Sales and Compensation Plan, that is annexed herein as Annexure- A. This consideration will be subjected to the relevant taxes deductions as applicable. The Company reserves its right to revise the consideration plan from time to time and the same shall be intimated to the Direct Seller (VISIONROOTS Direct Seller) online on their website or in writing by the Company. B. Basis of Consideration The consideration shall apply to all sales orders from customers solicited by the Direct Seller (VISIONROOTS Direct Seller). (Customers defined as an individual or a company who have bought the product/services from the Direct Seller (VISIONROOTS Direct Seller) for their own use). No considerations shall be paid on (i) orders solicited directly by Company within the Territory; (ii) Orders received from outside the Territory unless otherwise agreed in writing by Company. (iii) No consideration will be paid to the Direct Seller (VISIONROOTS Direct Seller) until 100% payment pertaining to the order is received. The company reserves the right to change the consideration / prices on products as and when required. Time of Payment The consideration on all PAID ORDERS shall be due and payable after 30 days from the date of acceptance/delivery of the product by the customer/Direct Seller (VISIONROOTS Direct Seller). D. Monthly Statements The Direct Seller (VISIONROOTS Direct Seller) shall submit to the company the monthly statements of considerations due and payable to the Direct Seller (VISIONROOTS Direct Seller) under the terms of this Agreement. Prices and Terms of Sale Company shall provide the Direct Seller (VISIONROOTS Direct Seller) with copies of its current market price and this is subject to change and the sole discretion of the same lies with the company, its payment schedules, and all Rules and Regulations and other material available for sales presentation and customer's information. The Direct Seller (VISIONROOTS Direct Seller) shall quote to customers only those authorized prices, payment schedules, and terms and conditions as informed by Company. The services will be activated only after receipt of 100% payment of the order placed. If for any reason a customer is not satisfied with the purchased product/s, he/she may return it within 7 days of purchase (payment date) for a refund as per the terms of the Product Return & Refund Policy. B. Acceptance All requests for service obtained by the Direct Seller (VISIONROOTS Direct Seller) shall be subject to acceptance by Company and all quotations by the Direct Seller (VISIONROOTS Direct Seller) shall contain a statement to that effect. The Direct Seller (VISIONROOTS Direct Seller) shall have no authority to make any acceptance or commitments to customers. Company specifically reserves the right to reject any request for service or any part thereof for any reason. Company shall inform the Direct Seller (VISIONROOTS Direct Seller) of any written acceptances on applications/orders. C. Collection VISIONROOTS shall accept payments online on its website and or by a Demand Draft, NEFT of any Nationalized/Private bank only. Additional Responsibilities of the Direct Seller (VISIONROOTS Direct Seller) A. Expense of Doing Business It will be the responsibility of the Direct Seller (VISIONROOTS Direct Seller) to bear all the costs and expenses of conducting his/her business in accordance with the terms of this Agreement. This would include salaries for the staff of the Direct Seller (VISIONROOTS Direct Seller) who are engaged in the business of selling the products of the Company, expenses related to communications, telecommunication, mailing, conveyance and business entertainment if required. The company will not entertain any re-imbursement on any expense made by the Direct Seller (VISIONROOTS Direct Seller) other than the considerations specified in company’s Sales and Compensation Plan. B. Promotion of the Products The Direct Seller (VISIONROOTS Direct Seller) shall make efforts to promote the sale of and stimulate demand for the Services within the Territory by direct solicitation. In no event shall the Direct Seller (VISIONROOTS Direct Seller) make any representation, guarantee or warranty concerning the Services except as expressly authorized by Company. The Company will take care of all online promotions on their website. Use of company logo, product logo, any advertising / promotion / marketing activity conceived originally by the Direct Seller (VISIONROOTS Direct Seller) should be first approved in writing by VISIONROOTS before being implemented. C. Direct Sellers and Customer Service The Direct Seller (VISIONROOTS Direct Seller) shall inform and assist customers on Company's Services, and shall perform such additional customer services by e-mail, phone and fax, whenever needed, as good salesmanship requires and as Company may reasonably request. D. Customer Complaints/Grievance on Books and Records The Direct Seller (VISIONROOTS Direct Seller) shall notify or advice their customers, to notify the Company of any complaints/grievances regarding either the Services or Company and the information regarding those complaints shall be immediately forwarded to Company by using the appropriate Form for the same on website to facilitate quick redressal. Additional Obligations of Company A. Assistance in Promotion Company shall, at its own expense, promptly provide the Direct Seller (VISIONROOTS Direct Seller) with marketing and technical information, training concerning the Services, brochures (If any), instructional material, advertising literature (If any), and other product data as and when required. B. Assistance in Technical Problems Company shall, at its own expense, assist the Direct Seller (VISIONROOTS Direct Seller) and customers of the Services in all ways deemed reasonable by Company in the solution of any problems relating to the Services. C. New Developments Company shall inform the Direct Seller (VISIONROOTS Direct Seller) of new Products or Services that are competitive with Company's Products Services and other market information and competitive information as discovered from time to time. During the term of this Agreement, the Direct Seller (VISIONROOTS Direct Seller) shall have the right to indicate to the public that he/she is an authorized Direct Seller (VISIONROOTS Direct Seller) of Company's Services. Nothing herein shall grant VISIONROOTS Direct Seller any right, title, or interest in Company's Trademarks. At no time during or after the term of this Agreement shall the Direct Seller (VISIONROOTS Direct Seller) challenge or assist others to challenge Company's Trademarks or the registration thereof or attempt to register any trademarks, marks or trade names confusingly similar to those of Company. Non-Compete After the Direct Seller (VISIONROOTS Direct Seller) is no longer in agreement with the Company, for a period of 12 months the Direct Seller (VISIONROOTS Direct Seller) will not, directly or indirectly, either as proprietor, stockholder, partner, officer, employee or otherwise, distribute, sell, offer to sell, or solicit any orders for the purchase or distribution of any products or services which are similar to those distributed, sold or provided by the Company. This Agreement shall commence on the date first accepted for a period of One (1) year and renewable yearly unless terminated earlier as provided herein below. B. Termination. Either party to this agreement shall have the right to terminate this agreement with or without cause with a thirty (30) days written notice to the other party. C. Return of Materials. All of Company's trademarks, trade names, data, photographs, literature, and sales aids, customer related database of every kind shall remain the property of Company. Within five (5) days after the termination of this Agreement, the Direct Seller (VISIONROOTS Direct Seller) shall return all such items to company. The Direct Seller (VISIONROOTS Direct Seller) shall not make or retain any copies of any confidential items or information that may have been entrusted to it. Effective upon the termination of this Agreement, the Direct Seller (VISIONROOTS Direct Seller) shall cease to use all trademarks, marks and trade name of Company. D. This agreement will be reviewed by the company after a period of twelve (12) months. Any Direct Seller (VISIONROOTS Direct Seller) not performing to the full satisfaction of the company in terms of securing new orders and company's policies is liable to be terminated, maximum after a period of 1 year. Limitation on Liability In the event of termination by either party in accordance with any of the provisions of this Agreement, neither party shall be liable to the other, because of the termination for compensation, reimbursement or damages on account of the loss of prospective profits or anticipated sales or on account of expenditures or commitments in connection with the business or goodwill of Company or the Direct Seller (VISIONROOTS Direct Seller). Confidentiality The Direct Seller (VISIONROOTS Direct Seller) acknowledges that by reason of its relationship to Company hereunder it will have access to certain information and materials concerning Company's business plans, customers, technology, and products/services that is confidential and of substantial value to Company, and this value would be impaired if such information were disclosed to third parties. The Direct Seller (VISIONROOTS Direct Seller) agrees that it shall not use in any way for its own account or the account of any third party, nor disclose to any third party, any such confidential information revealed to it by the Company. Company shall advise the Direct Seller (VISIONROOTS Direct Seller) whether or not it considers any particular information or materials to be confidential. The Direct Seller (VISIONROOTS Direct Seller) shall not publish any description of the Products/Services beyond the description published by Company and without the prior written consent of the Company. In the event of termination of this Agreement, there shall be no use or disclosure by the Direct Seller (VISIONROOTS Direct Seller) of any confidential information of Company. Governing Law and Jurisdiction In any dispute or difference arises out of or in relation to these presents, even after going through the necessary procedure of VISIONROOTS Grievance Redressal Committee (if Direct Seller has raised a grievance to the same), the same shall be referred to sole Arbitrator appointed by VISIONROOTS. Direct Seller shall not raise any objection, in case the Arbitrator so appointed by the Company is related / associated with the Company in any manner whatsoever. Arbitration in such event shall be conducted as per "Arbitration and conciliation Act, 1996" as amended from time to time. Venue of such Arbitration shall be in Delhi only and the language shall be English. This Agreement will be governed by and construed in accordance with the laws of Republic of India. Each Party irrevocably and unconditionally submits to the thereto exclusive jurisdiction of the Delhi Courts only. Entire Agreement This Agreement sets forth the entire agreement and understanding of the parties relating to the subject matter herein and supersedes any prior discussions or agreements between them. No modification of or amendment to neither this Agreement, nor any waiver of any rights under this Agreement to be done unilaterally and it shall be effective unless in writing signed by the party to be charged. Notices Any notices required or permitted by this Agreement shall be deemed given if sent by certified mail, postage prepaid, return receipt requested or by recognized overnight delivery service: If to Company: VISIONROOTS SERVICES PRIVATE LIMITED, A4-34, Paschim Vihar, New Delhi-110063 If to the Direct Seller (VISIONROOTS Direct Seller): [VISIONROOTS Direct Seller] [Address Line 1] [Address Line 2] [City, State, Pin Code] as mentioned in the Registration Request Form. 20. Non-Assignability and Binding Effect A mutually agreed consideration for Company's entering into this Agreement is the reputation, business standing, and goodwill already honored and enjoyed by Company under its present ownership, and, accordingly, the Direct Seller (VISIONROOTS Direct Seller) agrees that its rights and obligations under this Agreement may not be transferred or assigned directly or indirectly. Subject to the foregoing, this Agreement shall be binding upon and insure to the benefit of the parties hereto, their successors and assigns. Severability If any provision of this Agreement is held to be invalid by a court of competent jurisdiction, then the remaining provisions shall nevertheless remain in full force and effect. Headings Headings used in this Agreement are provided for convenience only and all not be used to construe meaning or intent. IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and year first accepted online. TERMS & CONDITIONS FOR JOINING AS DIRECT SELLER M/s VISIONROOTS SERVICES PRIVATE LIMITED, a Company incorporated under the Companies Act, 1956, and having its Registered Office at A4-34, Paschim Vihar, New Delhi-110063, running business in the name and style as VISIONROOTS, hereinafter also referred to as "The Company," "VISIONROOTS," "VISIONROOTS SERVICES," "we", "our," and "us". The Company is engaged into the business of direct selling through poly layered marketing and in other business activities as stated in the Object Clauses of memorandum of Association of the Company. For smooth running of the business of direct selling through poly layered marketing, Company has its marketing plan, certain rules and regulations, and other terms and conditions. The Company exclusively uses their website to display the details of the products, marketing methods, business monitoring, while simultaneously using the word of mouth publicity to promote and create awareness about the website and its products. 1. Definitions: The following words used in these Terms & Conditions shall have the meaning as defined here under: Direct Selling-Means marketing or sales of goods directly to the end user consumer using word of mouth, publicity, display and/ or demonstrations of the goods/products, and/or distribution of pamphlets. a. Direct Selling Entity/Company-Means a Company namely M/s VISIONROOTS SERVICES PRIVATE LIMITED. , having its registered office at A4-34, Paschim Vihar, New Delhi-110063 and running its main business in the name and style of VISIONROOTS. b. Direct Seller-Means a person competent to enter into contract as per "Indian Contract Act", and who is authorized by the Company to engage into the business of Direct Selling. c. Consumer-Means who buys goods or services for personal (self) use and not for resale or commercial purpose and shall have the same meaning as provided under the Consumer Protection Act, 1986. d. Goods / Products-Means goods/products defined in the Sale of Goods Act, 1930 and section 3(26) of the General Clauses Act, 1897, is that, it shall include every kind of movable property other than actionable claims and money. e. Consideration-Means amount of incentive payable to the Direct Seller for effecting sale of goods /products as stipulated in the Agreement between the Direct Seller and Direct Selling entity. f. VISIONROOTS ID - Means unique identification number issued by the Company to the Direct Seller as token of acceptance of his/her application for Direct Selling of the goods/products of the Company. g. Password-Means unique code allotted to each Direct Seller to allow them to log on to the website of the Company. h. Website-Means official website of the Company www.VISIONROOTS.co.in i. "Customer" means a person who is an end user of products and/or services offered through by VISIONROOTS. j. "VISIONROOTS Products" means all products and services, including literature, training and other support or auxiliary materials, any audio visual material made available by VISIONROOTS to Direct Sellers and Customers. k. "VISIONROOTS Sales and Compensation Plan" means the plan detailing VISIONROOTS’ requirements, procedures and policies, regarding the sales of VISIONROOTS products and business, performance consideration/incentive systems; as amended from time to time by VISIONROOTS, and which forms an integral part of the Direct Seller Agreement. VISIONROOTS offers opportunity to voluntarily become company’s Direct Seller across the country of India for marketing and sale of the products. Interested individuals (Indian Citizens only), if wish to become a Direct Seller of the Company, can apply for the same in prescribed Registration Form and Registration link available on website. Filling each & every column is mandatory. There is no deposit or any charges for becoming a Direct Seller of the Company. The intending Direct Seller must go through the terms and conditions herein below thoroughly before filling the application form and if agreeable to the terms and conditions, they shall accept the same online as token of their acceptance. 2. THE APPOINTMENT AND UNDERSTANDING a. upon scrutiny and verification of the Application may consider the Applicant as "Direct Seller" for Direct Selling the goods/ products of the Company. VISIONROOTS shall be at liberty to accept or reject his/her application at its discretion. b. The Direct Seller shall enjoy the following privileges:- i. Incentive for effecting sale of goods /products of the Company as per sales and compensation plan, ii. No territorial restriction to sale the goods/products, iii. Search and inspect his/her account on website of the Company through his/her Username & password awarded by the Company. iv. Earnings of the Direct Seller shall be in proportion to the volume of sales (BV) done by the Direct Seller by self or through team as explained in the sales and compensation plan of the Company. c. An individual shall be deemed to have accepted the terms and conditions stipulated herein, purchased minimum one package/product of the company required to become a direct seller and after scrutiny of the application shall become the Direct Seller of VISIONROOTS. Post this process allotment of VISIONROOTS ID and password shall be issued and the same shall be construed as appointment as Direct Seller. d. Cooling Off Period: If for any reason a customer is not satisfied with the purchased product/s, he/she may return it within 7 days of purchase (payment date) for a refund as per the terms of the company’s Product Return & Refund Policy. 3. GENERAL TERMS 1. Relation between the Company and the Direct Seller and all his/her activities here under shall be governed in addition to this agreement, by the rules / procedure contained in the sales and compensation plan, available on website. 2. VISIONROOTS may appoint any Third Party for Collection/distribution services. Direct Seller is required to visit the Company’s official website from time to time to know such appointment. 3. The Direct Seller will be eligible for consideration, as per the volume of sale of Products/Business done by him, subject to the eligibility norms formulated by VISIONROOTS from time to time. The Company does not guarantee/assure any consideration to the Direct Seller on account of becoming just a mere "Direct Seller" of the Company. 4. VISIONROOTS ID number has to be quoted by the Direct Seller in all his/her transactions and correspondence with the company. The VISIONROOTS ID once allotted cannot be altered at any point of time. 5. No communication will be entertained without VISIONROOTS ID. Direct Seller shall preserve the ID, User Name and Password properly as it is "must" for logging on to website. 6. Consideration to the Direct Seller shall be subjected to statutory deductions as applicable. 7. VISIONROOTS reserves its right to withhold/block/suspend the Direct Seller in the event the Direct Seller fails to provide any details as desired by VISIONROOTS from time to time including but not limited to Pan card details. 8. Processing charges and any other applicable charges will be deducted as per the company's norms. 9. Direct Seller undertakes to adhere for policies, procedures, rules and regulations formed by VISIONROOTS. 10. The Direct Seller shall be faithful to VISIONROOTS and shall uphold the integrity and decorum to the company and shall maintain good relations with other Direct Sellers and other clients also. 11. VISIONROOTS reserves the rights to modify the terms and conditions, products, plan, business and policies with/without giving prior notice. Such notice may be published through the official website of VISIONROOTS, and any such modification/amendment shall be applicable and binding unto the Direct Seller from the date of such notice. 12. In case of death or loss of contractual capacity of Direct Seller, his/her nominee or legal heir shall become the Direct Seller of VISIONROOTS and he/she shall also abide by all rules and regulations, terms and conditions etc., in the same manner as original Direct Seller was being abide/ supposed to abide. 13. Direct Seller shall comply with all state and central government and local governing body laws, regulations and codes that apply to the operation of their VISIONROOTS business. Direct Seller must not engage in any deceptive of unlawful trade practice as defined by any central, state or local law or regulation. 14. Direct Seller shall not manipulate the VISIONROOTS marketing/sales plan or product's rate, PV/B.V. etc., in any way. 15. Direct Seller shall not send, transmit or otherwise communicate any messages to anybody on behalf of VISIONROOTS other than what he/she is authorized for. 16. Direct Seller and/or any other person is strictly prohibited to use Business Promotional Material, other than Business Promotional Material developed and/or authorized to develop by VISIONROOTS. 17. Direct Seller shall not use VISIONROOTS trademark, logotype and design anywhere without written permission from the company. This permission can be withdrawn at any time by VISIONROOTS. 18. All the arrangements, expenses, permission from local authorities, complying with rules of central and state government and local body is whole responsibility of Direct Seller for meetings and seminars conducted by Direct Seller. 4. PROHIBITIONS 1. Direct Seller or his/her relatives (relative means dependent son or daughter, father/mother, spouse) shall not engage in any activities of direct selling of any other entity. If it is found then such Direct Seller shall be terminated. 2. Direct Seller is prohibited from listing, marketing, advertising, promoting, discussing, or selling any product, or the business opportunity on any website or online forum that offers like auction as a mode of selling. 3. The Direct Seller hereby undertakes not to compel or induce or mislead any person with any false statement /promise to purchase products from VISIONROOTS or to become Direct Seller of VISIONROOTS. 5. DUTY AND CONFIDENTIALITY Parties shall keep the Confidential Information secret and confidential and not disclose any of it to any person other than persons who reasonably need to know the same for the Purpose. 6. SPECIAL CONDITIONS Notwithstanding anything stated or provided herein, VISIONROOTS shall have full powers and discretion to modify, alter or vary the terms and condition in any manner whatsoever they think fit and shall be communicated through official website or other mode as the company may deem fit and proper. If any Direct Seller does not agree to be bound by such amendment, he/she may terminate this agreement within 7 days of such publication by giving a written notice to VISIONROOTS. Without submission of the objection for modification etc., if Direct Seller continues the Direct Selling activities then it will be deemed that he/she has accepted all modifications and amendments in the terms & conditions for future. 7. TERMINATION VISIONROOTS may terminate this agreement for any reason not limited to; (A)) If the Direct Seller makes a serious misrepresentation of VISIONROOTS or the VISIONROOTS business. (B) For reason of non-performance within time period stipulated. (C) Any unethical and pre judicial work to the interest of the Company. (D) For the breach of any terms and conditions of this agreement and marketing / sales and compensation plan. (E) Information given by Direct Seller (Business Affiliate) is found wrong/false. (F) The Direct Seller or, if the business comprises two or more individuals, any of those persons) is convicted of an offence punishable by a prison term; (G) The Direct Seller becomes the subject of bankruptcy or winding-up proceedings; (H) The Direct Seller is incapable at the time of Registration or at a later stage of business becomes incapable of managing his affairs by reason of mental condition. (I)the Direct Seller breaches any of these Rules and Ethics of Business and fails to rectify such breach within the time period specified by VISIONROOTS in its written notice to the Direct Seller. (J) The Direct Seller commits repeated breaches of any of these Rules and Ethics of Business; (K)Migrates to other country. Termination of a Direct Seller means termination of the authorization to operate as a Direct Seller, or de-sponsor the Direct Seller from his Business Group, for any reason not limited to termination of:- (A) All rights and entitlements as a VISIONROOTS Direct Seller. (B) Personal information given on website. (C) Identification as a VISIONROOTS Direct Seller. (D) Right to go at any VISIONROOTS office and attend VISIONROOTS meeting. The Direct Seller may terminate this agreement at any time by giving a written notice to the Company. 8. RENEWAL/AGREEMENT PERIOD Direct Seller authorization shall commence on the date first accepted for a period of One (1) year and renewable yearly unless terminated earlier as provided herein below. In order to keep continuity as Direct Seller of VISIONROOTS for further period, Direct Seller should annually renew his/her authorization of VISIONROOTS Direct Seller on or before the anniversary date of the agreement. VISIONROOTS reserves the right to refuse any renewal request and can revoke any Direct Seller renewal application if, in company’s opinion, the Direct Seller’s activities have not been in accordance with the interest of VISIONROOTS or if the Direct Seller did not comply with any of the rules, procedures, terms and conditions etc., during the twelve preceding months. The agreement of Direct Seller will automatically finish in case of non-compliance of renewal formalities. 9. FORCE MAJEURE VISIONROOTS shall not be liable for any failure to perform its obligations where such failure has resulted due to an act of God, acts of Nature (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout or interruption or failure of electricity, any type of redirection by Government (Central and / or State), Local Authority etc. 10. RECOURSE AND LEGAL APPLICABILITY 1. The terms and conditions stipulated in the foregoing paragraphs shall be governed in accordance with the laws in force in India. Disputes, if any, shall be subject to the exclusive jurisdiction of the courts in Delhi, Only. 2. If any dispute or difference arises out of or in relation to these presents, even after going through the necessary procedure of VISIONROOTS Grievance Redressal Committee (if Direct Seller has raised a grievance to the same), the same shall be referred to sole Arbitrator appointed by VISIONROOTS. Direct Seller shall not raise any objection, in case the Arbitrator so appointed by the company is related/associated with the Company in any manner whatsoever. Arbitration in such event shall be conducted as per "Arbitration and conciliation Act, 1996" as amended from time to time. 3. Venue of such Arbitration shall be in Delhi and the language shall be English. 4. Liability of VISIONROOTS, whether in contract, tort or otherwise arising out of or in connection with the agreement and/or relationship arising there from shall not exceed the lesser of a) actual damages or loss assessed by the arbitrator or any other dispute resolution mechanism adopted by the parties or; b) the total consideration earned by the Direct Seller (Affiliate) during preceding six months of the date of dispute. Declaration/Affirmation by the Direct Seller: I hereby covenant and solemnly affirm and declare as under: 1. That I have read and understood the Terms and Conditions for joining VISIONROOTS as a Direct Seller and agree to be bound by them. 2. That I have clearly understood the marketing methods/plan, the compensation plan, its limitations and conditions of VISIONROOTS and not relying upon any representation or promises that is not set out in these terms and conditions or other official printed or published materials of the Company. 1. I have also gone through the official website of VISIONROOTS, printed materials, brochures and convinced about the business and I have applied to appoint me as a Direct Seller on my own volition. 2. I as a Direct Seller shall act as a freelance body and shall not commit any misfeasance or malfeasance to create any liability/obligation over the company of whatsoever nature. 3. I understand that Direct Seller is not an Agent, Employee or any other Legal representative of the company or its service providers. 4. I declare that I have not been given any assurance or promise by misfeasance or its Direct Sellers as to any consideration on account of the product purchase made by me. However I am made to understand that I will be eligible for earnings depending upon the volume of business done by me, as per terms and the Company reserves the right to change the Business Plan at any point of time. 5. I understand that as a Direct Seller of VISIONROOTS, I am not authorized to receive any money for and on behalf of the Company. Any payment received by any Direct Seller from any person declaring that the amount is being received for and on behalf of the Company shall not be deemed to be received by the Company. 6. I undertake not to misguide or induce any one dishonestly to join VISIONROOTS. 7. I hereby agree to submit all disputes to arbitration as provided in the terms and conditions of the company. 8. I hereby declare that all the information furnished to VISIONROOTS is true and correct. VISIONROOTS shall be at liberty to take any action against me in the event it is discovered that I had furnished any wrong/false information to the company. 9. I hereby agree and adhere to the Terms and Conditions as stipulated herein and along with the Registration form. As mentioned above I agree to purchase the product/s as Consumer and to do the Direct Seller activities. RULES AND ETHICS OF BUSINESS Introduction www.visionroots.co.in is operated by VISIONROOTS SERVICES PRIVATE LIMITED, a company registered under the Companies Act, 1956, having its registered office at A4-34, Paschim Vihar, New Delhi-110063 (also referred to as "VISIONROOTS", "VISIONROOTS SERVICES", "company", "we," "us," and "our"). The VISIONROOTS Rules and Ethics of Business define and establish certain rules of business and ethics to be followed to develop and maintain VISIONROOTS Direct Selling Business and the rights, duties, and responsibilities of every VISIONROOTS’ Direct Seller. Rules and Ethics of Business are designed to protect the benefits available to all the Direct Sellers under VISIONROOTS Sales and Marketing Plan. VISIONROOTS and its Direct Sellers have a binding contractual relationship. The terms and conditions of this relationship are mentioned in the VISIONROOTS Direct Seller Agreement. DEFINITIONS In these Rules and Ethics of Business unless the context otherwise require, the following words and phrases shall mean what is given below: "VISIONROOTS SERVICES PRIVATE LIMITED" means "VISIONROOTS", "VISIONROOTS SERVICES", "company", "we," "us," and "our", a company registered under the Companies Act, 1956, having its registered office at A4-34, Paschim Vihar, New Delhi-110063. "Direct Seller" shall mean a person appointed by VISIONROOTS on a principal-to-principal basis through the Direct Seller Agreement to undertake sale, distribution and marketing of VISIONROOTS products and services to customers, to introduce similar business opportunity and to sponsor those who would also like to become VISIONROOTS Direct Sellers. "VISIONROOTS Business Guidelines" means the details set forth here providing information on the VISIONROOTS Business, VISIONROOTS Rules and Ethics of Business governing the VISIONROOTS Direct Sellers. "VISIONROOTS Products" means all products and services, including literature, training and other support or auxiliary materials, any audio visual material made available by VISIONROOTS to Direct Sellers and Customers. "VISIONROOTS Marketing Plan" means the company’s vision and the procedures, guidelines, requirements, and policies regarding the marketing of VISIONROOTS products, the VISIONROOTS business, as amended from time to time by VISIONROOTS. "VISIONROOTS Sales and Compensation Plan" means the plan detailing VISIONROOTS’ requirements, procedures and policies, regarding the sales of VISIONROOTS products and business, performance consideration/incentive systems, as amended from time to time by VISIONROOTS, and which forms an integral part of the Direct Seller Agreement. "Direct Seller Agreement" shall mean the agreement setting forth the rights and obligations (duties) of a Direct Seller and entered into through acceptance by VISIONROOTS of the Direct Seller Online Registration Form, inclusive of its terms and conditions and include the following: a. The Direct Seller Registration Form; b. The Terms and Conditions of VISIONROOTS Direct Selling Business; c. VISIONROOTS Rules and Ethics of Business for Direct Sellers; d. The VISIONROOTS Sales and Marketing Plan; and e. The VISIONROOTS Product Return and Refund Policy f. (Cooling off Period). "Business Group" refers to a Direct Seller and all his personally sponsored Direct Sellers, all those Direct Sellers sponsored by his personally sponsored Direct Sellers and so on down to and including those who have not sponsored anyone yet. "Business Promotion Materials" means all products and services (including but not limited to business aids, books, magazines and other printed material, online literature, internet websites, audio, video or digital media, rallies, meetings and educational seminars (inclusive of tickets for the same), and other types of materials and services) that: (i) are designed to solicit and/or educate Prospects, prospective customers or customers of VISIONROOTS products or services, or to support, train, motivate and/or educate Direct Sellers; (ii) incorporate or use one or more of VISIONROOTS’ trademarks, service marks or copyrighted works; or (iii) are otherwise offered with an explicit or implied sense of affiliation, connection or association with VISIONROOTS. "Business/Financial Year" means a period beginning from April 1 of any calendar year and ending on March 31 of the following calendar year. "Customer" means a person who is an end user of products and/or services offered through by VISIONROOTS. "Sponsorship Line" means the structural arrangement of Direct Sellers established by the contractual relationship that each Direct Seller has with VISIONROOTS India. "Territory/Territories/Market" means the territory of India and such additional territories as may be added by VISIONROOTS from time to time. "Prospect" means a potential Direct Seller. "Rules" shall mean these Rules for Direct Sellers for conducting business which can be changed or modified by VISIONROOTS from time to time. "Sponsor" means a Direct Seller who, is identified by an applicant for VISIONROOTS Direct Selling Business and who in turn is assigned by VISIONROOTS to support the requesting applicant if the same is accepted by VISIONROOTS as a Direct Seller. All the terms used in these Rules that are defined or explained in the VISIONROOTS Marketing Plan and VISIONROOTS Sales and Compensation Plan shall have the same meaning as given in the VISIONROOTS Marketing Plan and VISIONROOTS Sales and Compensation Plan. When the content so requires, everything that is in the singular shall include the plural, and whatever refers to the masculine shall include the feminine. Pledge of Rules and Ethics of Business As owner of my VISIONROOTS Direct Selling Business, I agree to conduct my VISIONROOTS business according to the following rules, ethics and guidelines: 1. In my activities as a VISIONROOTS Direct Seller, as a basic rule, I will endeavor to always treat others, as I would have them treat me. 2. I will respect and follow the VISIONROOTS following Rules and Ethics of Business as well as all applicable laws, rules and regulations observing not only in "the letter " but also " the spirit " thereof. 3. I will present VISIONROOTS Products and the VISIONROOTS Sales and Marketing Plan to all prospective Direct Sellers in an accurate, fair, truthful and honest manner, and I will present only what is approved by VISIONROOTS. 4. I will be prompt and courteous in handling of any and all claims for exchange and return and shall follow the procedures prescribed by VISIONROOTS from time to time. 5. I will conduct myself in a manner as to reflect only the highest standards of integrity, frankness and responsibility because I realize the far reaching effects that my conduct has as a VISIONROOTS Direct Seller. 6. I will accept and carry out the responsibilities of a VISIONROOTS Direct Seller (and those of Sponsor and any higher status when I reach such level), as set forth in VISIONROOTS Business Guidelines. 7. In my VISIONROOTS product sales activities, and to protect the VISIONROOTS Sales and Marketing Plan, I will use only VISIONROOTS produced or VISIONROOTS authorized publications. VISIONROOTS BUSINESS GUIDELINES: BECOMING A DIRECT SELLER Registration / Sign up Form: To Join VISIONROOTS direct selling business, an individual(s) must, in his/her/their own name(s) submit a completed Direct Seller Registration / Sign Up Form, together with all required supporting documentation on the company’s website. Equal Opportunity: Opportunity to become a Direct Seller for VISIONROOTS is available to anyone regardless of race, sex, and religious or political beliefs. Requirements: Following are the requirements for becoming a Direct Seller or renewing a VISIONROOTS Business, without limiting VISIONROOTS’ rights. A Direct Seller must: • be at least 18 years of age; • be a citizen and resident of India, or, • if permitted by VISIONROOTS, a Non-Resident Indian (NRI), Person of Indian Origin (PIO) or Overseas Citizen of India (OCI); • not be unable to manage his or her business due to mental or legal reasons; • not have been suspended from his or her current profession or business by any professional association, society, or institution; and • Not be in jail and/or confined to any correctional institution of any kind. Acceptance or Rejection of Application: VISIONROOTS reserves the right to accept or reject any request for registration to be a Direct Seller without having to give any explanation whatsoever. Effective Date of commencement of business: An Application shall be considered accepted on the day VISIONROOTS notifies the Direct Seller accordingly. The Direct Seller can start business immediately after receipt of relevant notification by VISIONROOTS, and completion of subsequent formalities, if any. Membership Period: A Direct Seller shall continue to remain a Direct Seller for VISIONROOTS unless the Direct Seller Business Agreement is terminated by the Direct Seller or VISIONROOTS as per clauses mentioned herein. Cooling Off Period: If for any reason a customer is not satisfied with the purchased product/s, he/she may return it within 7 days of purchase (payment date) for a refund as per the terms of the company’s Product Return & Refund Policy. Resignation: A Direct Seller can cancel his VISIONROOTS Business at any time as per the Terms and Conditions of the Direct Seller Agreement by sending a letter/email to VISIONROOTS. RESPONSIBILITIES OF DIRECT SELLERS Direct Sellers of VISIONROOTS Products should meet sales criteria set by VISIONROOTS in order to retain their status as Direct Sellers. Additionally they should complete required training, if any in order to continue as Direct Sellers and be eligible to recommend new Direct Sellers to VISIONROOTS. Following the Rules/Direct Seller Agreement: At all times, Direct Sellers must strictly follow the VISIONROOTS’ Rules and Ethics of Business and other documents that comprise the Direct Seller Agreement, Terms and Conditions etc. VISIONROOTS may from time to time amend the VISIONROOTS’ Rules and Ethics of Business and any other document comprising the Direct Seller Agreement through a notice on its website, www.VISIONROOTS.co.in. Usage of VISIONROOTS’ Products: The Direct Seller agrees and undertakes that purchase of VISIONROOTS’ Products shall be for the purpose of personal consumption and/or sale to Customers, and to retain and provide records of such sales to VISIONROOTS in accordance with the Rules. To be eligible for level considerations or a bonus a Direct Seller’s must achieve required business volume for that particular level in the time specified and a similar performance and contributions to sales by other Direct Sellers in his or her down line sales group is necessary. Retail Stores and E-commerce websites: Direct Sellers cannot display/sell VISIONROOTS’ products and/or literature or permit VISIONROOTS’ Products or services to be sold or displayed through retail stores and e-commerce websites (this shall include non-VISIONROOTS’ e-commerce websites), schools and/or fairs/exhibitions. A Direct Seller who works in or owns a retail store must operate his/her VISIONROOTS business separate and away from the retail store. Such Direct Sellers must secure customers and deliver products to them in the same manner as VISIONROOTS’ Direct Sellers who do not own a retail store. Other types of retail establishments, which are not technically stores, such as barber shops, beauty shops, or professional offices, etc., may not be used to display VISIONROOTS’ Products, information about VISIONROOTS’ services, or VISIONROOTS’ literature. Direct Sellers may not use mass communication methods such as television merchandising channels, computer networks, national or international advertising, etc., to secure VISIONROOTS’ customers. Truthful and Accurate: Direct Sellers shall not make any offer which is not accurate and truthful as to price, grade, quality, performance, and availability to sell any VISIONROOTS’ product. Direct Sellers cannot: • Make exaggerated product claims or non-guaranteed claims with regard to VISIONROOTS’ Products or products distributed by VISIONROOTS. • Represent In any way whatsoever, incorrectly with regard to prices, quality, standards, contents, style or model, place of origin or availability of VISIONROOTS’ Products or products distributed by VISIONROOTS. • State that VISIONROOTS’ Products or products distributed by VISIONROOTS present any features as regards yield, accessories, uses or benefits that they do not have or VISIONROOTS does not support. • Act or present VISIONROOTS, its products or sell the products of VISIONROOTS in a fraudulent manner or promote products that do not belong to VISIONROOTS as if they did or sell VISIONROOTS’ products at a price below the purchase price in any way whatsoever. No Repacking / Re labeling of VISIONROOTS’ Products. Direct Sellers shall not change, alter any of the packaging labels of VISIONROOTS’ Products or repackage any VISIONROOTS’ products. Customer Products: Direct Sellers shall inform VISIONROOTS of any customer complaint and provide copies of all correspondence (if any) and details of all conversations regarding the complaint. Direct Sellers are not authorized to make any type of offer or compromise or render VISIONROOTS liable for any complaint or product return other than VISIONROOTS’ current product return and refund policy. Direct Sellers hereby indemnify VISIONROOTS for any losses, claim, legal actions, suit, etc. (including VISIONROOTS legal fees) which are filed or which originate because of any failure by the Direct Seller to observe this rule. Following Applicable Laws, Regulations and Codes: Direct Sellers shall follow all laws, regulations and codes that apply to the operation of their VISIONROOTS business wherever said VISIONROOTS Business may be conducted within the Market, and they must not conduct any activity that could endanger the reputation of the Direct Seller and/or VISIONROOTS. Applicable laws, regulations and codes may vary from State to State in India, and over time, and VISIONROOTS does not ensure or make representations with respect to the quantity or extent of effort or expense required to comply with such laws, regulations and/or codes. Unlawful Business Activities: Direct Sellers shall not engage in any deceptive or unlawful trade practice as defined by any Central, State or local law or regulation. No Direct Seller shall operate any illegal or unlawful business enterprise, engage or participate in any illegal or unlawful business activity or be convicted of any illegal or unlawful activity. An illegal or unlawful enterprise or activity is one which is prohibited by central, state, or local law or regulation. If, subsequent to approval of his/her initial Registration, any VISIONROOTS Direct Seller is discovered by VISIONROOTS to be operating, or engaging or participating in, an illegal or unlawful enterprise or activity, and if, upon notification and request by VISIONROOTS, such Direct Seller refuses or fails to end his or her relationship with such illegal or unlawful enterprise or activity, then VISIONROOTS shall terminate Direct Seller Agreement, whereupon the Direct Seller shall lose all the rights and privileges of a VISIONROOTS Direct Seller. Professionalism: A VISIONROOTS Direct Seller shall conduct himself or herself in a courteous and considerate manner at all times and shall not resort to any high-pressure selling, although make a fair presentation of VISIONROOTS Products and the VISIONROOTS Sales and Marketing Plan including, when and where appropriate, demonstrations of products. A VISIONROOTS Direct Seller shall never impose himself or herself upon his/her prospective customer and shall abide by the following rules: 1. He/She shall always take a prior permission or appointment before meeting a prospective customer and shall indicate the purpose of his or her visit and identify himself or herself as a VISIONROOTS Direct Seller. 2. He/She shall provide the following information to the customer at the time of sale • His/ Her name, address and telephone number along with that of VISIONROOTS. • He/ She shall at all times carry identity card provided by VISIONROOTS along with any photo ID’s issued by any Government agency. • He/ She shall provide customer receipt with the description of the products to be supplied as per Rule. If the customer indicates a desire to terminate the interview, the VISIONROOTS Direct Seller shall immediately do so and shall leave the premises of the customer. The VISIONROOTS Direct Seller at all times must make a fair presentation of VISIONROOTS’ Products. Unsolicited e-mail messages: • No Direct Seller shall send, transmit or otherwise communicate any unsolicited e-mail messages to persons with whom the Direct Seller does not have a pre-existing personal or business relationship. (This includes, but is not limited to, sending e-mails through newsgroups, purchased mailing lists, "safe lists", or other lists of individuals or entities with which the Direct Seller does not have a relationship). • Employment Postings: If a Direct Seller responds to an employment posting for someone seeking an employment opportunity, they shall clearly state within the first paragraph of the response that they are offering a business opportunity and not employment. (see details given herein under VISIONROOTS ANTI SPAM POLICY Privacy and Confidentiality: All Direct Sellers are required to abide by the Company’s Privacy Policy with regard to Direct Seller, client and member information, and confidentiality with regard to business information. Employment Relationship: 1. VISIONROOTS Direct Sellers are independent Direct Sellers operating their own business and are not employees/agents of VISIONROOTS or any of its affiliated companies at present or in future. 2. Direct Seller shall not represent to any one that he or she has any employment relationship with VISIONROOTS or any of its affiliated companies and/or other Direct Sellers. 3. A Direct Seller is required to indemnify VISIONROOTS for the cost of any damage or prejudice arising from such false representation, including any legal fees VISIONROOTS may have incurred. 4. VISIONROOTS Direct Sellers are independent Direct Sellers operating their own businesses. They shall not use terms like "agents," "managers," or "company representatives", nor shall they use such terminology or descriptive phrases on their stationery or other printed material unless authorized by the company. 5. Direct Sellers shall not use the address of any VISIONROOTS’ establishment, VISIONROOTS’ intellectual property or misrepresent their association with VISIONROOTS. (Sponsors are advised to preserve the independent business relationship between themselves and their Direct Sellers). 6. Direct Sellers shall use the identification card issued to them by VISIONROOTS exclusively when the Direct Seller wants to purchase products from VISIONROOTS and at the time of approaching customers for sale. Markets/Territories: -VISIONROOTS Direct Sellers have no territorial limits. They can operate anywhere within India. No Direct Seller shall represent to anyone that there are exclusive territories or markets available under the VISIONROOTS Sales and Marketing Plan. -Direct Seller shall not represent that he or she, or anyone else has the authority to grant, sell, assign, transfer or designate markets/territories. -Direct Seller or Sponsor may not state or imply that he or she has a given territory, nor that any other Direct Seller cannot operate in the same territory. Non-VISIONROOTS Selling Activities: -A VISIONROOTS Direct Seller can engage in other business/professional activity, but he/she must not use VISIONROOTS Direct Sellers/ activities/events to promote his non VISIONROOTS business/profession and must not sell the same to other VISIONROOTS Direct Sellers. -No VISIONROOTS Direct Seller who personally sells products other than VISIONROOTS Products, or who sells services (e.g., tax services, insurance, investments, etc) will attempt to persuade another VISIONROOTS Direct Seller to participate in any other non-VISIONROOTS selling activity and/or to sell such products, literature, sales aids, or services to any VISIONROOTS Direct Seller, whether or not this is done to obtain revenues or for any other reason. 1. This principle also applies to business promotion aids developed privately by Direct Seller in compliance with these Rules. 2. VISIONROOTS Direct Sellers may not take advantage of an activity organized specially to promote VISIONROOTS’ Products or VISIONROOTS, or any other Direct Seller’s efforts or resources, or of their knowledge of, or association with, other VISIONROOTS Direct Sellers to promote and expand their non-VISIONROOTS businesses. To do so constitutes an unwarranted and unreasonable interference in the business of other VISIONROOTS Direct Sellers. This does not mean, however, that a Direct Seller regularly engaged in the operation of a retail establishment, petrol pump, repair garage, barber or beauty shop, or a professional service (law, medicine, dentistry, or accounting) may not serve clients or customers who are VISIONROOTS Direct Sellers but it does mean that such Direct Seller may not actively solicit the patronage of such VISIONROOTS Direct Sellers. 3. VISIONROOTS reserves the right to terminate the remaining Direct Seller’s authorization as a Direct Seller in the event that one partner of husband-wife partnership elects to resign his or her authorization as a Direct Seller and subsequently takes advantage of his or her knowledge of, or association with, other VISIONROOTS Direct Sellers to promote and expand his or her non-VISIONROOTS business. Soliciting to Change Sponsorship Line: VISIONROOTS Direct Seller under no circumstances, direct or indirect, nor for purpose of helping another person', shall directly or indirectly, solicit, interfere or attempt to induce another Direct Seller to leave or change Sponsorship Line. Exporting VISIONROOTS Products: VISIONROOTS Direct Sellers must sell VISIONROOTS products and/or sponsor prospective VISIONROOTS Direct Sellers within India only. No Direct Seller shall export, or knowingly sell to others who exports, VISIONROOTS Products from India. (VISIONROOTS must limit the resale of VISIONROOTS Products by Direct Sellers to only other Direct Sellers or retail customers located within country in which the Direct Seller legitimately buys the VISIONROOTS Products and is authorized to do business for important legal reasons, including trade names and trademark protections; local laws on product registration, packaging, labeling, ingredient content and formulation, product liability; customs and tax laws; and literature content or language requirements. The term "products" includes, without limitation, all literature, sales aids, and any other items obtained by a Direct Seller from VISIONROOTS or from his sponsor.) Healthy Business Practices: A VISIONROOTS Direct Seller must operate his or her business in a financially responsible, solvent, and businesslike manner. Direct Seller shall not permit a non-Direct Seller to build / promote his or her VISIONROOTS business. In signing a Direct Seller Registration Form a Direct Seller undertakes to VISIONROOTS that there is no legal limitation on his or her ability to meet the legal obligations of a VISIONROOTS Direct Seller, whether such obligations are to VISIONROOTS itself, to customers, or to other Direct Sellers. If there is an obstacle or limitation, the Direct Seller must declare it. For e.g. if a bankrupt person or an underage person applies for a Business, VISIONROOTS may reject the application or alter the Business, if VISIONROOTS discovers the disability. If a Distributor or any member partner in his or her business files a petition in bankruptcy or has bankruptcy or winding up proceedings commenced against him or her, or has any assets seized by Court order, the Direct Seller must immediately inform VISIONROOTS. In such cases, VISIONROOTS reserves the right to terminate the Business, or alter its terms of trading with the Direct Seller, or to negotiate with the trustee in bankruptcy or responsible court official concerning arrangements for the disposal of any products belonging to VISIONROOTS in the possession of the Direct Seller. Manipulation of VISIONROOTS Sales and Marketing plan: No Direct Seller shall manipulate the VISIONROOTS Sales and Compensation and/or Marketing Plan or manipulate sales volume in any way which results in the payment of incentives, bonuses or other awards and recognition that have not been earned in accordance with the terms of the VISIONROOTS Sales and Compensation and/or Marketing Plan and/or the business guidelines. Disposition of a Business: If a Direct Seller terminates/cancels his Business, or fails to renew it within the required time period or dies without leaving heirs who are ready, willing, and able to become Direct Sellers and assume the responsibility of his VISIONROOTS Business, VISIONROOTS, at its sole discretion, shall decide the future of the business in accordance with the Rules. Right to Audit • VISIONROOTS reserves the right to audit all Direct Sellers to check compliance with Direct Seller obligations under the Direct Seller Contract from time to time with or without notice at VISIONROOTS’s discretion. • All Direct Sellers who earn differential considerations shall maintain their records. In the event a Direct Seller earning differential considerations is found to be in violation of this requirement on three occasions he/she/they/it shall be liable for any or all action listed below: (a) Suspension of business activities and considerations; (b) Elimination from all awards/rewards; (c)(d) Non-invitation or withdrawal of invitation to award trips; (e) Denial of any cash/non-cash awards and rewards from affected Direct Seller to up lines; (f) Termination of their VISIONROOTS business RESPONSIBILITIES OF A SPONSOR A Sponsor is a Direct Seller who recommends a new applicant. If accepted by VISIONROOTS as a Direct Seller, he/she is assigned by VISIONROOTS for support in business by the Direct Seller or the Sponsor who recommended. ALL SPONSORS MUST OBSERVE FOLLOWING 1. Abide by VISIONROOTS Rules and Ethics of Business in their letter and true spirit. 2. Train, encourage and motivate all Direct Sellers they have recommended to sell VISIONROOTS Products. 3. Encourage the recommended Direct Sellers to attend VISIONROOTS’ seminars/meetings/ trainings whenever organized. 4. To acquire and preserve his status and rights as a Sponsor, a Direct Seller or sponsor must: Discuss, explain and encourage all Direct Sellers sponsored by him/her to read the VISIONROOTS Business Guidelines and VISIONROOTS Rules and Ethics of Business and to follow and conduct their businesses in accordance with the rules and law. 5. Give advice on promotional activities for business. 6. While maintaining a Good Standing, a VISIONROOTS Sponsor shall not directly or indirectly indulge himself /herself in any wrongful activity, including but not limited to false complaints and/or issuing threats to VISIONROOTS or its personnel, which could have any adverse effect upon the VISIONROOTS business of another Direct Seller or on the reputation of VISIONROOTS. 7. Independent Relationship: He/she should not represent that there is an employment or agency relationship between himself and the Direct Sellers which he sponsors. 8. Give advice concerning (advertising and all other) promotional activities carried on by his personally sponsored Direct Sellers to ensure that they conform to VISIONROOTS-approved procedures and rules. 9. Neither a prospective Direct Seller, as a condition to becoming a new Direct Seller, nor any currently authorized Direct Seller, as a condition of receiving support in the development of their business from their sponsor, shall be required to purchase hardware or software for computers, subscribe to an Internet Service Provider (ISP), or establish a Website. 10. VISIONROOTS reserves the right to set additional restrictions on recommending Prospects or serving as a Sponsor to Direct Sellers based on geography or otherwise. Confidentiality of the Sponsorship Line and its Information: VISIONROOTS protects the Sponsorship Line and its Information for the benefit of VISIONROOTS and all Direct Seller. VISIONROOTS keeps this Information proprietary and confidential and treats it as a trade secret. The Direct Seller agrees that the SL and SL Information are confidential, commercial and proprietary information (hereinafter referred to as "Trade Secret") owned by VISIONROOTS and shall not to be disclosed by the Direct Seller to any person whatsoever. The Direct Seller further agrees that a breach by a Direct Seller of his or her confidentiality obligations with respect to this information shall cause VISIONROOTS irreparable damage for which monetary damages would be an inadequate remedy, and that notwithstanding any other provision hereof, and, without prejudice to any other rights VISIONROOTS may have in law or under the agreement. VISIONROOTS shall be entitled to seek specific performance of the Direct Sellers obligations under this clause or seek such further relief as may be available in law. PRESENTATION OF THE VISIONROOTS MARKETING PLAN AND/OR VISIONROOTS SALES AND COMPENSATION PLAN It should not give Impression of Employment Relationship: When inviting a prospect to a presentation of the VISIONROOTS Marketing Plan and/or Sales and Compensation Plan, a VISIONROOTS Direct Seller will neither use the following invitations nor directly or indirectly induce other Direct Sellers to do so: Giving an impression that it relates to an employment opportunity, That the invitation is to a social event, Mask the invitation as a "market survey," Indicate the event as a "tax seminar " Promote the VISIONROOTS Business opportunity as a business relationship with a person, company, or organization other than VISIONROOTS, Indicate directly or indirectly that VISIONROOTS Products are merely one line of products distributed through or as a part of a brokerage operated by a person, company, or organization other than VISIONROOTS, Indicate directly or indirectly that the VISIONROOTS Business, Direct Sellers or VISIONROOTS Products are part of any business other than VISIONROOTS’ Business, Deny, if asked, that the presentation is about the VISIONROOTS Marketing Plan and/or Sales and Compensation Plan, or imply that it is other than a business event. First Contact with Prospective Customers and Direct Sellers: At the first contact with prospective customers and Direct Sellers, a Direct Seller should: Present his ID and introduce him by name. As soon as practicable, make himself known in a decent way as a VISIONROOTS Direct Seller and should provide information concerning his name and address as well as concerning VISIONROOTS. Indicate the purpose of contact, namely the sale of VISIONROOTS’ Products to a customer and/or the presentation of the business opportunity to a customer who may be a potential Direct Seller as reflected by his/her interest expressed voluntarily for doing VISIONROOTS Direct Selling Business during the current meeting and/or expressed in your earlier meetings with him/her. Sponsoring Guidelines: VISIONROOTS Marketing Plan and/or Sales and Compensation Plan must not be presented - • As a get-rich-quick opportunity. • That the VISIONROOTS Products are bought and sold only for Direct Sellers personal use. • That there is no requirement to directly sell VISIONROOTS Products. In seeking participation of a prospect in the VISIONROOTS Marketing Plan and/or Sales and Compensation Plan, the sponsoring Direct Seller must comply with the following guidelines: 1. Must share the average profits, earnings, and sales figures and percentages as published from time to time by VISIONROOTS. 2. Must use only VISIONROOTS-produced and authorized literature or VISIONROOTS authorized privately produced sponsoring aids submitted to VISIONROOTS through a VISIONROOTS designee. 3. Should use those earnings and/or consideration representations based on their own personal experiences. 4. Should cite lifestyle examples, e.g. travel, automobile, homes of successful Direct Sellers, and contributions to charitable causes, provided such benefits were actually earned as the result of building a successful VISIONROOTS Business. 5. Must not say that there is no requirement for the direct sale or marketing of products. 6. Must not promote the benefit of tax benefits as the ideal reason for becoming a VISIONROOTS Direct Seller. 7. Must not say that VISIONROOTS is a "get rich-quick" opportunity in which it is easy to achieve success with little or no expenditure of effort or time. 8. Must not present the Direct Seller plan or solicit participation in the Direct Seller Plan through any broadcast communication methods including mass mailing, telemarketing, national or international advertising, radio, television, fax services, computer communication networks including the Internet or any other means by which personal contact with the prospect is not present. However, Direct Sellers may use digital media or maintain an Internet Website for use with prospects, provided the contents of such media or Website meets the requirements set with in the VISIONROOTS Business Guidelines and complies with the Rules. USE OF THE VISIONROOTS TRADE NAME, TRADEMARKS, AND COPYRIGHTED MATERIALS The VISIONROOTS trade name, trademarks, and service marks are company’s important and valuable business assets and identify the source and reputation of the VISIONROOTS business, products, and services worldwide, and differentiate them from those of competitors. -VISIONROOTS will not allow use of its trade name (company name), trademarks (product names), designs, or symbols by any person, including a VISIONROOTS Direct Seller, without its prior permission. -No VISIONROOTS Direct Seller may print, produce or procure from any source other than VISIONROOTS any premium, giveaway item, stationery, or promotional literature of any kind upon which the VISIONROOTS name or logotype or any of its trade names or trademarks are imprinted without securing prior, written approval from VISIONROOTS. -The exact copy to be used must be forwarded to VISIONROOTS before the printing is actually done. When approval is given by VISIONROOTS, there shall be no deviation whatever from the approved copy. No cloth VISIONROOTS corporate logotypes shall be affixed to any sports uniforms, shirts, or other garments. Copyrighted Materials: 1. All VISIONROOTS printed material is copyrighted and may not be reproduced in whole or in part by Direct Sellers or other persons except by prior written permission from VISIONROOTS. 2. No person, whether a VISIONROOTS Direct Seller or otherwise, may reproduce any of VISIONROOTS’ printed material, in whole or in part, without specific written permission from VISIONROOTS. This includes text material, pictures, cartoons, diagrams, charts, maps, designs, and other printed materials. 3. All VISIONROOTS’ printed material relating to products has been carefully prepared to conform to all local, state, and central laws and regulations governing the labeling of products. (The word "labeling" covers not only the label on the product itself, but also any literature used to promote the sale of such product). 4. Even a slight deviation from the language on the label or promotional material may become a violation of one or more of the laws or regulations covering the product and its labeling and thus subject the person making such deviations to penalties imposed by law. Penalties for Violators: Any Direct Seller who violates can be: 1. Denied the right to make any future use of the VISIONROOTS trademark or trade name. 2. Have his Business terminated by VISIONROOTS. 3. Be held liable for money damages to VISIONROOTS for unauthorized use of the VISIONROOTS’ name, trademark, or logotype. ENFORCING VISIONROOTS RULES AND ETHICS OF BUSINESS Violation of the VISIONROOTS Rules and Ethics of Business is an extremely serious matter because of the effect it may have on the business of an individual Business, and also the result this may have on the opinions and reputation of the VISIONROOTS business held by the public, the media and government officials. While VISIONROOTS will make every effort to correct any such violation through guidance and counseling, further action may be taken in more serious cases in any order or in any combination: 1. Retraining of the Direct Seller and his Business Group; 2. Suspension period for the offending Business; 3. De-sponsoring the offending Direct Seller and his Business Group; 4. Termination of the offending Business. In instances of violation of the VISIONROOTS Rules and Ethics of Business observed by any Direct Seller a complaint should be made to VISIONROOTS Grievance Review and Redressal Panel in accordance with the Complaint Procedure mentioned below. Complaint Procedure: When a Direct Seller has discovered that there may have been a violation of the VISIONROOTS Rules and Ethics of Business, he must notify VISIONROOTS Grievance Redressal Panel (See ‘VISIONROOTS Grievance Policy’) and his Sponsor of the violation and all facts and documentary or other evidence connected with it. On receiving this notice, VISIONROOTS will notify the appropriate Direct Seller/s of the complaint and request an immediate response. If the complaint and response do not contain sufficient facts to make a decision, additional information may be requested from any party by VISIONROOTS. VISIONROOTS GRIEVANCE REVIEW AND REDRESSAL PANEL 1. Informal Resolution: After VISIONROOTS Grievance Review and Redressal Panel receives all information, facts and circumstances relevant to the complaint, panel will decide whether there has been a violation of the Rules and will then discuss the matter with the Direct Sellers involved to obtain assurance from the Direct Sellers that it will not recur. 2. Formal Resolution: If VISIONROOTS Grievance Review and Redressal Panel is unable to settle the matter informally and if the appropriate corrective action is deemed by VISIONROOTS Grievance Review and Redressal Panel to be other than termination or De-sponsorship, then VISIONROOTS Grievance Review and Redressal Panel will forward a decision letter to the violating Direct Seller, as well as the sponsor of the violating Direct Seller. The decision letter will list the specific complaint(s), outline the corrective action to be taken and, if appropriate, setting a time limit for its compliance. 3. Failure to Comply: VISIONROOTS Grievance Review and Redressal Panel will allow the Direct Seller to implement the appropriate corrective action within the time limit specified in the decision. However, if he does not comply till expiration of the time limit, the Panel will take further action directly. Notice of such action shall be given by email/letter addressed to the violating Direct Seller, with a copy sent to the violator’s Sponsor and to the complaining Direct Seller. Note: Suspension of Authorization until Decision is Made by VISIONROOTS Grievance Review and Redressal Panel: During the period of review of the complaint, suspension of business of the violating Direct Seller will remain in force until a final decision has been taken by the Panel. During this period of suspension: • The Direct Seller is not allowed to conduct any VISIONROOTS related activity, • The Direct Seller shall not represent himself as an VISIONROOTS Direct Seller, • Payment of any discounts, considerations or any other monies payable to the business are computed but are held in abeyance by VISIONROOTS till resolution, • Whether the monthly Business Volume of the business is to be counted towards qualification for any awards or for Leadership, will be determined by VISIONROOTS when final decision by the Review Panel has been taken. The Direct Seller will not be invited to attend any meetings, routine seminars, Leadership Seminars which may be held during this period, even though they may have qualified for such business seminars prior to the period of suspension. • If the final decision by the VISIONROOTS Grievance Review and Redressal Panel is taken in favor of the Direct Seller, VISIONROOTS shall restore full rights and privileges and pay the balance of money previously held in abeyance to the Direct Seller. • Any administrative costs incurred by VISIONROOTS during these proceedings may be calculated and deducted from the money which were held in abeyance or recovered from the Direct Seller. • In the event of any other decision taken by the VISIONROOTS Grievance Review and Redressal Panel, VISIONROOTS shall decide what will happen with the money held in abeyance. Final Determination by the VISIONROOTS Grievance Review and Redressal Panel 1. The determination of the VISIONROOTS Grievance Review and Redressal Panel will be communicated to all parties. 2. If the determination of the Review Panel upholds or calls for termination of a Direct Seller, such termination will be confirmed by VISIONROOTS on notifying the Direct Seller that either: a. The termination of his business has been confirmed as effective from the date of termination previously notified to the Direct Seller by VISIONROOTS or b. His or her business has been terminated by the VISIONROOTS Grievance Review and Redressal Panel in which event the business shall be deemed to have been terminated by VISIONROOTS by virtue of notice of the VISIONROOTS Grievance Review and Redressal Panel’s decision upon the terminated Direct Seller. 3. If the VISIONROOTS Grievance Review and Redressal Panel decide upon corrective action other than termination, then: a. Notification of corrective action other than termination shall be communicated directly by VISIONROOTS to the offending Direct Seller by email/letter sent by Registered Mail, with the date for completion of any action by the Direct Seller and the dates(s) on which any action shall be taken by VISIONROOTS. b. VISIONROOTS will take all steps as may be necessary to implement the VISIONROOTS Grievance Review and Redressal Panel’s decision. The decision of the VISIONROOTS Grievance Review and Redressal Panel shall not give rise to any liability on the part of VISIONROOTS to the Direct Seller, including but not limited to loss of profits or goodwill. Alternate Dispute Resolution: • If the affected Direct Seller against whom the complaint was made and the same was under review with the VISIONROOTS Grievance Review and Redressal Panel is not satisfied with the decision of the VISIONROOTS Grievance Review and Redressal Panel, there is an alternate dispute resolution mechanism of Arbitration. • Any dispute or difference whatsoever arising between the parties shall be settled by arbitration in accordance with the Rules of Arbitration of the Indian Council of Arbitration and the award made in pursuance thereof shall be binding on the parties. • The venue of such arbitration shall be at New Delhi only and the award of the Arbitrator shall be final and binding on all parties. Subject to the above, courts at New Delhi only shall alone have jurisdiction in relation to the Direct Seller Agreement and matters connected thereto. TERMINATION/DE-SPONSORSHIP VISIONROOTS may terminate the authorization to operate as a Direct Seller by notice in writing and/or by email to a Direct Seller, or de-sponsor the Direct Seller from his Business Group, if one or more of the following occurs: (A)) If the Direct Seller makes a serious misrepresentation of VISIONROOTS or the VISIONROOTS business. (B) For reason of non-performance within time period stipulated. (C) Any unethical and pre judicial work to the interest of the Company. (D) For the breach of any terms and conditions of this agreement and marketing/sales plan. (E) Information given by Direct Seller (Business Affiliate) is found wrong/false. (F) The Direct Seller or, if the business comprises two or more individuals, any of those persons) is convicted of an offence punishable by a prison term; (G) The Direct Seller becomes the subject of bankruptcy or winding-up proceedings; (H) The Direct Seller is incapable at the time of Registration or at a later stage of business becomes incapable of managing his affairs by reason of mental condition. (I)the Direct Seller breaches any of these Rules and Ethics of Business and fails to rectify such breach within the time period specified by VISIONROOTS in its written notice to the Direct Seller. (J) The Direct Seller commits repeated breaches of any of these Rules and Ethics of Business; (K)Migrates to other country. The decision of termination or de-sponsoring of a Direct Seller by VISIONROOTS shall be final and binding on the Direct Seller. Termination of a Direct Seller means: "Termination of the authorization of the Direct Seller to operate as a VISIONROOTS Direct Seller and termination of all rights derived from said authorization, and the right to receive any further consideration from or generated by such business arising or accruing after the date of termination, except the right to receive reimbursements of the discounts/considerations/incentives corresponding to the purchases or business conducted prior to the termination date. Termination shall be effective upon the date specified by VISIONROOTS in its email, SMS and/ or written notice to the Direct Seller". Meaning of De-sponsorship: De-sponsorship or "de-sponsored from one’s Business Group" means "the removal of a Direct Seller from his position as a Sponsor in the Sponsorship Line (including, at the absolute discretion of VISIONROOTS, the removal of the Direct Seller’s right to ever sponsor again in his current Sponsorship Line or any other Sponsorship Line), by written notice by email / letter/ SMS from VISIONROOTS to the relevant Direct Seller and becoming effective on the date stated in such notice". The Process of Termination or De-sponsorship: The Direct Seller, whose authorization is to be cancelled or who is to be de-sponsored, shall be given written notice of VISIONROOTS’ decision by a email and / or Registered Mail and 1. Be mailed to the last email IDs or last physical mailing address of such parties as shown in VISIONROOTS’ records; 2. If applicable, state the Rule(s) violated by the Direct Seller; 3. State the date on which any such action shall become effective, and 4. In case of De-sponsorship only, the Direct Seller will have an opportunity to appeal VISIONROOTS’ decision to the company’s Grievance Redressal Panel. The panel will review the case for any possible resolution and if the dispute continues to persist, the case shall be referred to the Sole Arbitrator as per the law. Upon termination of his or her authorization as a VISIONROOTS Direct Seller for any cause whatsoever, the Direct Seller shall: 1. Return, in good condition, all VISIONROOTS Products and VISIONROOTS distributed products in his possession. 2. Cease to use all trademarks, trade names, insignia, or other industrial property used in or related to the VISIONROOTS business, and 3. Cease to identify and represent himself as a VISIONROOTS Direct Seller. The Direct Seller will have no claim against VISIONROOTS arising out of or in respect of the termination or De-sponsorship. SUSPENSION OF BUSINESS In an effort to remove misrepresentations (by the violating Direct Seller) of the VISIONROOTS Sales and Marketing Plan within the Sponsorship Line, or as an alternative to completely terminating the business of a Direct Seller who has violated VISIONROOTS Rules and Ethics of Business, VISIONROOTS may employ various actions and procedures of suspension of business to encourage VISIONROOTS Direct Seller to improve his/her business conduct. VISIONROOTS may use any or all of the following to address the matter: 1. Hold / forfeit payment of considerations, higher award money, or other money payable to the business. 2. Suspend authorization to conduct sponsoring activity (sponsoring, recruiting, meetings, training sessions, home presentations, etc.), 3. Suspend invitations to any/all of the company sponsored events. TERMINATION, DE-SPONSORSHIP OR SUSPENSION BY VISIONROOTS WITHOUT FORMAL COMPLAINT VISIONROOTS may initiate termination, De-sponsorship, or suspension of a Direct Seller’s business even in the absence of a formal complaint. VISIONROOTS shall not, however, take action against the Direct Seller without offering an opportunity to explain and/or justify his conduct. Where the seriousness of violation truly questions the right of such Direct Seller to continue to operate his business, VISIONROOTS may terminate without affording the Direct Seller the opportunity to explain or rectify his past improper conduct. VISIONROOTS - SOCIAL MEDIA POLICY WHAT IS SOCIAL MEDIA Social Media is a term used to describe websites and online tools that people use to connect and interact online with other people and share profiles, experiences, opinions, content and media. These tools include blogs, message boards, podcasts, video and photo sharing sites, micro blogs, forums and online communities. This Policy does not change the current rules or principles but is intended to guide Direct Sellers to apply them to social media interactions. Direct Sellers who wish to use Social Media for their VISIONROOTS Business should review all Rules and Ethics of Business along with following guidelines to use social media and adhere to the same. APPROPRIATE WAY OF USING SOCIAL MEDIA Few applicable rules are identified here. If in doubt, don’t do it. Check with VISIONROOTS. 1. Create an individual Social media profile. Enhance the profile by adding personal information and images. Connect with family, friends and acquaintances. Remember to maintain privacy settings to friends or friend of friends. 2. Use Social Media to communicate with your down line and up line members as appropriate. Maintain appropriate privacy settings. 3. Make new friends online. 4. be transparent, authentic and honest. Be truthful and accurate at all times. Voluntarily disclose your association with VISIONROOTS if you intend to discuss the business on your page. 5. Share positive experiences about VISIONROOTS’ products and the VISIONROOTS’ business. 6. Treat people with respect and courtesy as you would want them to treat you. 7. Offer participation, support and feedback. The conversation should take place much like it would be in person. When approaching others or entering the conversation, interact positively, be relevant and credible. 8. Connect with VISIONROOTS online; join official sites and share posts, videos and photos posted by VISIONROOTS with your teams, customers and prospects. 9. Choose your words carefully, remember what you say reflects upon your and VISIONROOTS’ reputation. 10. Refer questions or other users with questions to VISIONROOTS. 11. Strictly follow the Rules of the social media site/tools mentioned therein while using them. TOTAL PROHIBITED CONDUCT 1. Do not create pages, websites, accounts or other online avenues to sell products. 2. Do not prospect or ‘cold’ contact to gain new Direct Sellers through your sponsorship. If someone contacts you online and expresses a desire to buy product or learn more about the business, contact them privately through chats, messages, email and/or through personal meeting if they wish to. 3. Do not offer discounts or special promotions not offered by VISIONROOTS. 4. Do not spam using social media. 5. Do not create fake VISIONROOTS or product brand identities. When it comes to naming your page, you are not allowed to use VISIONROOTS trademarks or trade names. We suggest you use your full name. People who search for you online are more likely to remember and use your name. 6. Do not use VISIONROOTS logos, VISIONROOTS Product logos, brand images, photographs and copyrighted text including product literature or any other VISIONROOTS material directly without prior permission from VISIONROOTS nor misrepresent VISIONROOTS in any way. 7. Do not make claims about VISIONROOTS products that are false, misleading or incorrect. 8. Do not upload photographs / videos / content related to VISIONROOTS Business, events or products that are not authorized by VISIONROOTS, false, misleading or incorrect. 9. If in doubt …. Ask VISIONROOTS for advice and guidance. * Direct Seller activities while using the Social media for their VISIONROOTS Business is governed by VISIONROOTS Rules and Ethics of Business and the above policy. These are subject to change from time to time. Violation of the Rules and/or this policy may invite action against your VISIONROOTS Business. VISIONROOTS - ANTI SPAM POLICY VISIONROOTS has zero tolerance spam policy. We hold the privacy of all users in the highest regard, as well as the privacy of all recipients of emails sent by our Direct Sellers. VISIONROOTS Anti Spam policy strictly prohibits any one related directly or indirectly with VISIONROOTS Company and/or business to send any unsolicited email to anyone. The Federal CAN-SPAM Act, put into law in 2003, governs rules in sending commercial email. We at VISIONROOTS vigorously follow these rules and have added a few for additional safety. They include: • Direct Sellers are advised strictly that they must not send unsolicited, bulk or indiscriminate mails to any recipient associated directly/indirectly with VISIONROOTS. • If you are sending commercial email, non-personal, business-focused email, you must have specific permission to email your recipients. You can do this by using ‘voluntary opt-in’ procedure to sign up subscribers. • When you use opt-in, you must make a reasonable effort to make certain the person who signed up to receive communications from you is who they say they are. • You must hang on to evidence that subscribers have given you permission, and must be able to produce that evidence within 72 hours of request. • You must tell you recipients, in your email, where you got their info. This might include a line that says, e.g. "you have received this email because you signed up for our newsletter at http://www.VISIONROOTS.co.in • Every email from Direct Sellers must contain a mandatory unsubscribe link – to facilitate recipients who do not wish to receive any further communication from you to unsubscribe using this link. This will ensure that recipient will not receive any future emails from you. You must execute/honor all unsubscribe requests within 10 days of receipt. • The domain attached to your email must have its own privacy policy. • You must tell the truth in your email, from where your office is located and who is sending the actual communication. Complaint Procedure I Think a VISIONROOTS Direct Seller Is Spamming Me. What Do I Do? If you believe you have received spam from a VISIONROOTS Direct Seller, forward the email you received to us at support@VISIONROOTS.co.in Please include the headers of the email when you forward it, and briefly tell us why you believe the message is spam. We take all spam complaints seriously and will investigate promptly. HOW VISIONROOTS WILL ACT IF YOU SPAM What happens if you Spam, or Try to Spam? If we find that you are spamming, or trying to spam: Things that will definitely happen: 1. VISIONROOTS will issue a written warning to you to stop spamming immediately and/or we might charge you with a monetary fine if your spamming causes any interruptions in our ability or in the ability of our other Direct Seller’s to service other customers. This fine shall be deducted from your consideration due if any or you will be required to deposit the same immediately with the company. 2. If you fail to comply, we will immediately suspend your VISIONROOTS Business Account and issue a written warning to stop it immediately. 3. If you still fail to comply with VISIONROOTS’ instructions, we will immediately terminate your VISIONROOTS Business Agreement. 4. Post termination of your agreement, we will refuse to pay any consideration that you may accrue post the date of our first warning. Note: we don't presume guilt. We investigate all potential spam incidents thoroughly before making a decision. But once we've made a decision, we act fast. ZERO TOLERANCE POLICY ‘Zero Tolerance’ means not allowing any undesirable behavior to continue and imposing restrictions/penalties against Direct Sellers found indulging in such adverse and unacceptable behavior. The VISIONROOTS Zero Tolerance policy addresses issues that can affect company’s business and reputation. VISIONROOTS will not overlook any violation of this policy and no leniency shall be shown in dealing with a VISIONROOTS Direct Seller who is found to be in violation of this policy. Currently, following areas have been identified by VISIONROOTS as ‘Zero Tolerance’ areas. These are: • Selling and/or making available VISIONROOTS’ products for sale through retail shops, unauthorized channels and online stores; • Unauthorized Direct Seller activity in any markets; • Quality Assurance Standards; • VISIONROOTS Business Guidelines for Direct Sellers; • Spamming prospects/customers using emails and other social media. SELLING AND/OR MAKING AVAILABLE VISIONROOTS PRODUCTS FOR SALE THROUGH RETAIL SHOPS, UNAUTHORIZED CHANNELS AND ONLINE STORES. VISIONROOTS markets its products through the direct selling channel under which the sale of products by a Direct Seller happens in a direct face-to-face interaction with the consumer. This sale takes place away from fixed locations like retail shops. Use of any alternate channels by Direct Sellers, for selling VISIONROOTS’ products, violates the basic principle of Direct Selling and disturbs the level playing field provided to all Direct Sellers to do business. VISIONROOTS is committed to protecting the rights and opportunities of every VISIONROOTS Direct Seller. Hence our Rules prohibit Direct Sellers from selling products through retail shops, unauthorized channels and online stores. VISIONROOTS has adopted a Zero Tolerance Policy for sale through such alternate channels and reserves the right to take immediate action against violating Direct Seller/s on receipt of verifiable information. Additionally, Direct Sellers and Leaders need to consider following aspects as they build their business and help their down lines do the same: • Up lines must educate and encourage their down lines on the correct and ethical business building practices with a special emphasis on the ‘Zero Tolerance’ policy. • Direct Sellers who place orders for other Direct Sellers are responsible for the orders placed by them and these Direct Sellers need to be discreet so as to safeguard their business interest. • In the best interest of all, up lines should encourage down lines to place their orders independently. ACTIONS FOR NON-COMPLIANCE Those who fail to comply or who have shown a disregard for the policy may be subject to one or more of the following actions: a) Suspension of business activities and considerations. b) Elimination from all GPB awards/ rewards. c) De-Sponsorship/Termination. TERMS AND CONDITIONS OF SALE OF PRODUCTS Products by VISIONROOTS sold under an Invoice shall be subject to the following terms and conditions of sale: 1. Weights, measures and statements as to quantity, quality, date of manufacture etc. as contained on the packing of VISIONROOTS’ products shall be presumed to be correct. 2. Buyer is requested to verify quality/ and quantity of the goods before accepting delivery. No claim regarding quality/quantity of the goods will be entertained once goods are handed over to the buyer/carriers as the case may be unless promptly notified in the Delivery Challan. 3. Price and applicable taxes will be mentioned in invoice as on date of raising invoice. Any levy/increase in taxes/freight/delivery charges in respect of goods sold, before/after delivery to the Buyer shall be reimbursed by the Buyer to VISIONROOTS. 4. Refund of VAT/ Sales Tax/ Statutory Levies already collected will be allowed only on returned goods received as per VISIONROOTS’ returns policy and as updated from time to time. 5. In case of failure to take delivery of goods, buyer shall be solely liable for all storage, demurrage costs and other expenses. VISIONROOTS shall be entitled to treat such failures as a breach of contract in addition and without prejudice to VISIONROOTS’ other rights and remedies. 6. VISIONROOTS is not liable for delays or non-delivery of goods by the Carrier due to Force Majeure conditions in course of transit/delivery or any loss arising there from. 7. Each lot of goods delivered under an invoice shall deem to be sold under a separate sales contract. 8. All Bank charges (including collection charges), shall be payable by the Buyer. VISIONROOTS shall not be liable for any loss/theft of bank drafts/cheques etc. in transit. 9. Any notice to be served on the Buyer by VISIONROOTS shall be deemed to be validly served if sent by ordinary prepaid post to the buyer’s address as mentioned on the invoice. 10. All sale contracts and transactions of VISIONROOTS are subject to exclusive jurisdiction of the Courts at Delhi only. 11. If products are returned by customers directly to VISIONROOTS, PV/BV adjustment shall be done from the Direct Seller’s account who sold them to such customers and in accordance with VISIONROOTS’ Product Return and Refund Policy and any excess amount paid for any reason whatsoever shall be recoverable from the concerned Direct Seller.
